Terms of purchase

1. General terms

These terms and conditions apply to purchases of goods from the ApprovedByRiver OÜ online store.

The owner of the online store and the seller of the goods is ApprovedByRiver OÜ, registry code 17569402, VAT registration number EE103015057 (hereinafter the Seller). A natural or legal person making a purchase from the online store is hereinafter referred to as the Customer. A Customer who is a natural person and enters into a transaction for purposes unrelated to their trade, business or profession is referred to in these terms as a Consumer.

The online store sells new and pre-loved goods. Pre-loved goods are products that have previously been used, and their condition may vary from product to product. The condition of the goods and any known significant defects are described as accurately as possible on the relevant product page.

These terms and conditions govern the legal relationship between the Customer and the Seller arising from purchases of goods from the online store.

In addition to these terms and conditions, legal relationships arising from purchases from the online store are governed by the legislation in force in the Republic of Estonia and, in the case of a Consumer, applicable consumer protection rules.

The Seller has the right to amend these terms and conditions. The terms and conditions in force at the time the order was placed apply to the Customer's order.

2. Prices

All prices displayed in the online store are in euros and include VAT at 24%.

Delivery charges may be added to the price of the goods, depending on the delivery method selected by the Customer. The delivery charge and the total order amount are displayed to the Customer before the order is confirmed.

The Seller has the right to change the prices displayed in the online store. The price displayed in the online store at the time the order was placed applies to the Customer's order.

Discounted prices and promotions are subject to the terms and validity period stated for the promotion.

The online store may offer bundles consisting of several products at a discounted price. The bundle discount applies only if the Customer purchases all products belonging to the relevant bundle together. The bundle discount does not apply to purchases of individual products. The bundle price is displayed alongside the relevant bundle.

The bundle discount applies only if all products in the bundle are available at the time of purchase and are purchased together.

If an obviously incorrect price is displayed for goods in the online store due to a technical error, the Seller has the right not to fulfil the order. In such a case, the Seller will contact the Customer as soon as possible and refund any amount already paid.

The colours in product photographs displayed in the online store may differ slightly from the actual colours of the product due to the Customer's screen settings, screen type, lighting and other technical factors. The Seller is not responsible for minor colour differences arising from the Customer's device or other technical factors.

3. Placing an order

To place an order, the Customer adds the desired products to the shopping cart and proceeds to checkout.

Adding a product to the shopping cart does not reserve the product or guarantee its availability.

The Customer enters the information required to place the order and selects a suitable delivery and payment method. Before confirming the order, the Customer must check the contents of the order, the total amount, the selected delivery method and the accuracy of the information entered.

Before submitting the order, the Customer must confirm that they have read and agree to the online store's terms and conditions of purchase.

Before the order is submitted, the Customer is shown the total order amount, including applicable taxes and any delivery charges.

The order is considered submitted after it has been confirmed and payment has been completed successfully. The Seller sends an automatic order confirmation to the email address provided by the Customer.

The Customer is responsible for the accuracy of the information provided when placing the order. The Seller is not responsible for delays or other problems in fulfilling the order if they are caused by incorrect or incomplete information provided by the Customer.

If the ordered goods cannot be delivered, the Seller will inform the Customer as soon as possible and refund the amount paid for the relevant goods.

4. Payment

Orders can be paid for using the payment methods offered in the online store. The payment methods available to the Customer are displayed when proceeding to payment.

Payments are processed by Maksekeskus AS.

Payment takes place outside the Approved by River online store in a secure environment: payments via a bank link are made in the secure environment of the relevant bank, and credit or debit card payments are made in the secure environment of Maksekeskus AS.

The Seller does not have access to the Customer's bank or payment card details.

The sales contract enters into force when the amount payable is received in Approved by River's bank account.

The payment methods used in the online store are displayed to the Customer at checkout.

All payments are made in euros.

The link required to make payment can be found in the Customer's order history, or the relevant link will also be sent to the email address provided when placing the order.

After payment has been made, an order confirmation is sent to the Customer's email address.

If payment fails or is interrupted, the order is not considered paid. The Seller will not prepare or release unpaid orders.

5. Delivery and collection of goods

5.1 Delivery

The Seller delivers goods using the delivery methods offered in the online store. The delivery methods available to the Customer and their charges are displayed when placing the order.

Approved by River uses the following delivery and parcel locker service providers to deliver orders:

  • Omniva
  • SmartPosti

The exact selection of delivery methods is displayed to the Customer in the shopping cart or at checkout, depending on the destination country and service availability.

The Seller has the right to change or expand its selection of delivery partners. If the selected delivery method cannot be used for any reason, the Customer will be contacted to agree on a suitable alternative delivery method.

Orders are prepared and dispatched on working days. Orders are not prepared or handed over to the carrier on weekends or public holidays.

Orders are prepared and handed over to the carrier no later than 5 working days after payment for the order.

Once the order has been handed over to the carrier, the carrier's delivery time is added. This is generally 1–4 working days, depending on the selected delivery method and destination.

Once the order has been handed over to the carrier, shipment tracking information is sent to the Customer by email and/or SMS.

The Customer is responsible for the accuracy of the delivery address, parcel locker and contact details entered when placing the order.

If the Customer does not collect a shipment delivered by the carrier to a collection point or parcel locker within the storage period, this is not automatically treated as withdrawal from the contract. The Seller will contact the Customer, who may choose to have the shipment resent or agree on another solution.

The Customer bears reasonable additional costs associated with resending and returning the shipment if those costs arose because the Customer failed to collect the shipment or provided incorrect or incomplete information when placing the order.

5.2 Collection in person

Orders can be collected in person at Keemia 4, Tallinn, room 227.

An order may be collected only after the Customer has received an email confirming that the order is ready for collection.

Collection is available Monday–Thursday 17:00–19:00 and Friday 13:00–16:00. The order must be collected within 7 working days of receiving the ready-for-collection confirmation.

If the Customer does not collect the order within 7 working days of receiving the ready-for-collection confirmation, the Seller will contact the Customer. If the order has not been collected within 14 calendar days of the ready-for-collection confirmation being sent, the Seller has the right to charge a storage fee of €1 for each calendar day commenced for the continued storage of the order, until the order is collected or another solution is agreed.

Failure to collect an order is not automatically treated as withdrawal from the contract. If the Customer's failure to collect the order causes the Seller additional reasonable costs, including the cost of resending the goods or another agreed method of handover, the Customer bears those additional costs attributable to the Customer.

If the Customer still does not collect the order within an additional reasonable period specified by the Seller, the Seller has the right to withdraw from the contract and put the goods back on sale. The Seller has the right to deduct any storage fees due and other reasonable costs arising from the Customer's failure to collect the order from the amount to be refunded.

If the storage fees due and other reasonable costs equal or exceed the amount otherwise refundable to the Customer, no amount will remain to be paid to the Customer.

6. Cancelling an order

The Customer may cancel an order until it has been handed over to the carrier or, in the case of collection in person, handed over to the Customer.

To cancel an order, the Customer must use the cancellation option on the online store's “Returns/cancellations” page and enter the order number and the email address used to place the order.

The Customer may cancel the entire order or individual products included in the order.

After a cancellation request has been submitted, an automatic confirmation is sent to the Customer's email address. Following submission of the cancellation request, the order or the product selected for cancellation will not be released to the Customer.

The amount paid for cancelled products will be refunded to the Customer using the same payment method that the Customer used to pay for the order, unless the parties have agreed otherwise.

If the Customer cancels the entire order before dispatch, the Customer will be refunded the full amount paid for the order, including the delivery charge paid. If the Customer cancels only part of the order and the remainder is sent to the Customer, the delivery charge will not be refunded.

A discounted bundle is treated as a single product in the order. Before the order is dispatched, the Customer may cancel a bundle only in its entirety.

7. Right of withdrawal and returning goods

A Consumer has the right to withdraw from a contract concluded in the online store within 14 days of receiving the goods.

The 14-day right of withdrawal does not apply to a Customer who is a legal person. This does not limit the right of a Customer who is a legal person to make a claim against the Seller if goods other than those ordered have been supplied or the goods do not conform to the contract, including where the goods have a defect that was not disclosed in the product description or photographs before purchase.

To exercise the right of withdrawal, the Customer must notify the Seller of their wish to withdraw from the contract within 14 days, using the return option on the online store's “Returns/cancellations” page.

To arrange a return, the Customer must enter the order number and the email address used to place the order and select the product or products they wish to return.

After a return request has been submitted, an automatic confirmation is sent to the Customer's email address.

After submitting the notice of withdrawal, the goods must be returned to the Seller no later than within 14 days.

The Seller issues the Customer a return code that the Customer can use to send the goods back to the Seller.

The Customer bears the direct delivery costs of returning the goods. When a return code is used, the Seller initially pays the return delivery charge, and the corresponding amount is deducted from the refund to the Customer.
For returns via Omniva, the delivery charge is €4.50 in Estonia, €9.90 in Latvia and €10.90 in Lithuania.
For returns via SmartPosti, the delivery charge is €3.50 in Estonia, €12.90 in Finland, €5.50 in Latvia and €5.90 in Lithuania.

For orders collected in person, the Seller does not issue a return code. Goods can be returned to the Seller free of charge in person at Keemia 4, Tallinn, room 227, Monday–Friday 17:00–19:00, after first submitting a return request in the online store. If the Customer cannot return the goods in person, the Customer may send the goods at their own expense using a service that delivers the shipment directly to the Seller's address at Keemia 4, Tallinn, room 227. The Seller does not accept returns sent to a parcel locker or other collection point.

8. Condition of returned goods

The Customer may inspect and try the goods only to the extent necessary to establish their nature, characteristics and functioning, in a manner similar to what would be possible in a physical store.

Where possible, returned goods must include all original tags, product labels, packaging and other accessories supplied with the goods. If the Customer removes or damages original tags or other labels attached to the goods, damages the packaging or otherwise alters the goods, and this reduces their value, the Seller has the right to reduce the refund in accordance with the resulting loss in value.

If the Customer has used or handled the goods beyond what is necessary to establish their nature, characteristics and functioning, and this has reduced their value, the Seller has the right to reduce the refund to the Customer in accordance with the loss in value of the goods.

For pre-loved goods, the condition of the goods at the time of sale, as described or shown in the product description and photographs, is taken into account. Signs of use or defects described at the time of sale are not considered a loss in value caused by the Customer.

8.1 Exceptions to the right of withdrawal

In cases provided for by law, a Customer who is a Consumer does not have a 14-day right of withdrawal.

The right of withdrawal does not apply, among other things, to sealed goods that are unsuitable for return for health protection or hygiene reasons after being unsealed, if the Customer has unsealed the goods after delivery.

For underwear and swimwear, the right of withdrawal does not apply if the hygiene seal has been removed or other hygiene protection has been opened, making the goods unsuitable for resale for health protection or hygiene reasons.

If the right of withdrawal does not apply to particular goods, this information will be stated alongside the product before purchase.

8.2 Returning a discounted bundle

A discounted bundle is treated as a single product in the order. The bundle price applies on the condition that all items in the bundle are purchased together.

When exercising the right of withdrawal, a discounted bundle must be returned in its entirety, including all items in the bundle. Individual items belonging to the bundle cannot be returned separately.

The same conditions regarding the condition of goods and loss in value apply to the return of a bundle as to other goods purchased from the online store.

9. Refunds and delivery charges

In the event of withdrawal, the Seller will refund the amount due to the Customer without delay, but no later than within 14 days of receiving the notice of withdrawal.

The Seller has the right to withhold the refund until the Customer has returned the goods to the Seller or provided evidence of having sent the goods back, whichever occurs first.

The refund will be made using the same payment method that the Customer used to pay for the order, unless the Customer and the Seller have expressly agreed otherwise.

If the Customer withdraws from the entire order, the Seller will also refund the delivery charge paid for delivery of the order, up to the cost of the least expensive standard delivery method offered by the Seller. If the Customer selected a more expensive delivery method, the Seller is not required to refund the additional cost exceeding that of the least expensive standard delivery method.

If the Customer returns only part of the order, the original delivery charge will be refunded proportionally according to the number of returned goods in relation to the total number of goods in the order.

The Customer bears the direct delivery costs of returning the goods. When a return code issued by the Seller is used, the Seller initially pays the return delivery charge, and the corresponding amount is deducted from the refund to the Customer. The return delivery charge is displayed to the Customer before the withdrawal request is confirmed.

If the Customer has been sent goods other than those ordered, or the goods have a defect for which the Seller is responsible, the Seller bears the reasonable costs of returning those goods. If, in the same shipment, the Customer also returns other goods under the 14-day right of withdrawal in addition to defective or incorrect goods, the Customer bears the costs of returning those other goods to the extent that adding them to the return shipment increases the return cost.

10. Complaints and defective goods

A Customer who is a Consumer has the right to submit a complaint to the Seller regarding goods that do not conform to the contract, in accordance with the mandatory consumer protection rules applicable to the Customer.

A complaint may be submitted within two years of receiving the goods.

The Seller must be notified of a defect no later than two months after the Customer became aware of it.

To submit a complaint, the Customer must contact the Seller at info@approvedbyriver.ee, state the order number, describe the defect, attach photographs showing the defect where possible and indicate the desired solution.

For pre-loved goods, signs of use, wear or other characteristics that were clearly disclosed to the Customer in the product description or photographs before purchase are not considered defects.

In the case of defective goods, the Customer has the right to request that the goods be brought into conformity with the contract. Depending on the circumstances, this may mean repair or replacement. If repair or replacement is impossible, fails or other grounds provided for by law apply, the Customer may have the right to request a price reduction or withdraw from the contract.

The Seller will respond to the Customer's written complaint no later than within 15 days of receiving it.

Reasonable costs associated with remedying a defect, including necessary postage and transport costs, are borne by the Seller if the defect is one for which the Seller is responsible.

The Seller is not responsible for normal wear and tear or changes arising from the properties of the material that occur during normal use and care of the goods, provided they correspond to the normal wear and characteristics of goods of that type.

The Seller is not responsible for a defect caused by improper use or care of the goods, including where the Customer has not followed the care or use instructions.

11. Liability and force majeure

The Seller and the Customer are liable to each other for damage caused by a breach of these terms and conditions in the cases and to the extent provided for in the legislation in force in the Republic of Estonia.

The Seller is not liable for a delay in or failure to fulfil the order to the extent that it is caused by circumstances beyond the Seller's control that the Seller could not reasonably have foreseen or avoided.

In the event of force majeure, the Seller will inform the Customer as soon as possible if the circumstances materially affect fulfilment of the order.

Force majeure does not limit the Customer's statutory rights if fulfilment of the order becomes impossible or is delayed to the extent provided for by law.

12. Dispute resolution

Disputes arising between the Customer and the Seller will primarily be resolved through negotiation.

If the Customer has a complaint regarding the Seller's activities or goods purchased from the online store, please first contact the Seller at info@approvedbyriver.ee.

If a Customer who is a Consumer and the Seller cannot reach an agreement to resolve a dispute, the Customer who is a Consumer has the right to contact the Consumer Disputes Committee. The Consumer Disputes Committee operates under the Consumer Protection and Technical Regulatory Authority and resolves contractual disputes between consumers and traders. Before contacting the Committee, the Customer who is a Consumer must first have submitted their claim to the Seller.
